Shearman, Skadden on $556 mln Dangdang take-private transaction
By Ashima Ohri From Asian Legal Business
Shearman & Sterling has advised the special committee of the board of directors of E-commerce China Dangdang on its $556 million go-private transaction, with Skadden, Arps, Slate, Meagher & Flom advising the buyer group.
The buyer, Dangdang Holding Company, intends to fund the merger through a combination of rollover financing from rollover shareholders of 136.5 million shares.
The NYSE-traded China Dangdang is the most recent example of Chinese companies listed in the U.S. that are being taken private. Some 40 U.S.-traded Chinese firms have proposed privatization in the past 12 months, although the number that have completed the process is thought to be less than 10.
The Shearman & Sterling team on the transaction is led by partner Stephanie Tang, with Maples and Calder serving as the Cayman Islands legal counsel to the special committee, and Walkers acting as the Cayman Islands legal counsel to the buyer group.

St. Vincent and the Grenadines Prime Minister to Discuss International Terrorism and Caribbean Preparedness
Thursday, 16 June | 6:00 pm | UCCI Sir Vassel Johnson Hall
Recent international events have posed considerable questions regarding global insecurity.
The multiple manifestations of this encompass radical and extreme religious world views, environmental degradation, food insecurity and the movement of peoples. Of particular urgency is global terrorism.
While it is clear that the Caribbean is not impervious to the reality of international terrorism, it can be argued that the peoples of the region do not know enough of how prepared their countries are.
In the latest installment of the UCCI Distinguished Lecture Series, Prime Minister Ralph Gonsalves of St. Vincent and the Grenadines explains the nature of this reality, the extent to which Caribbean countries are affected, or might be, and their levels of preparedness. As an important player in CARICOM, the Prime Minister will outline regional plans to counter global terrorism.
Large groups are encouraged to reserve seats as soon as possible as space is limited.
